East End Festivals and Events

Terms and Conditions:

 

Vendors/ Exhibitors agree to the following-

Set up in event space  as per the specific event details.  The vendor agrees to display products/ literature that pertain specifically to the contracted vendor as per described on the applicable vendor application.  

Vendors / Exhibitors are not permitted to use amplifying equipment that we consider objectionable.  No Smoke, Bubbles, or Confetti Canons to be used during the event.  Exhibitors must confine their activities to their contracted space.  Exhibitors will not be permitted to use strolling entertainment (unless contracted for) nor to distribute samples, souvenirs or literature except from their own exhibit space. 

Any materials draped from exhibits must meet local fire laws or they will be asked to be removed.   Prior approval shall be required for additional lighting, tents, decoration (indoor or outdoor).  No fasteners of any type may be used on the walls of the premises.  No artwork if applicable, may be removed or moved for any reason.  There is no table sharing.  This contract is binding once signed, and is received by fax transmission, email or an original copy has been received by the event organizers.

The event organizer and the venue where the event is being held, (a) will not be responsible for any damage to or for the loss of or destruction of vendor/exhibitor’s property or injuries to vendors/exhibitors, their representatives, agents or employees.  All claims for any such loss, damage, destruction or injury being expressly waived by vendor/exhibitor; (b) will be exempted from and defended and indemnified by the vendor/exhibitor from and against any and all losses, damages and claims for death or injury to the vendor/exhibitor or any of its representatives, agents, employees, patrons, invitees or visitors, except that no such indemnification shall apply to any such death or injury to the extent resulting from the sole negligence of the event organizer and/or the venue .The event organizer and/or the venue , its agents and employees, will not be held liable for failure to hold exhibition/event/showcase as scheduled.  The event organizer and/or the venue reserves the right to shift space assignment after the contract has been signed if they find it necessary to do so.  Vendor/exhibitor is responsible for any and all sales/use tax or other direct charges of fees levied, assessed or charged by the US government, as well as any state, county, cite or other taxing entity.  Vendor/exhibitor is responsible to pay all sales tax on items sold during the event.

 

This contract shall be governed by the laws of the State of New York.  Both the event organizer and/or the venue and the vendor/exhibitor agree that any disputes hereunder will be heard exclusively in the appropriate federal and state courts located in the County of Suffolk, State of New York.  Vendor/exhibitor agrees that the exhibitor is transacting business in New York and the exhibitor expressively waives to the fullest extent possible any defenses based upon lack of personal jurisdiction to any cause of action brought to enforce the terms of the contract.

 

The event organizer and/or the venue may, without liability, delay performance or cancel this contract on account of Force Majeure events or other circumstances beyond its control, including but not limited to, strikes, acts of god, pandemic, political unrest, embargo, failure of source of supply, or casualty.  If this event is cancelled for any reason beyond our control, no refunds will be given.

 

All Event sponsors, vendors, and supply companies using the premises must be licensed and fully insured.  You must provide a certificate of liability insurance for liability coverage for the days of the event naming the event organizer and the venue  as additional insured in the amount of $1,000,000 per occurrence,  This certificate of insurance must be supplied to the event organizer no less than 3 days prior to the event date. If insurance is not provided within that time frame, vendors may not be allowed to exhibit and no refund will be given.
